Affiliate Program Agreement

1. Eligibility

• You must have an active Arez AI account in good standing.
• You must be at least 18 years old and able to enter into a binding contract.
• For payouts, you must be a US person and provide a valid IRS Form W-9. Non-US participation is not yet supported.

2. Commission Structure

• Rate: 20% of every payment a referred customer makes to Arez AI.
• Duration: 12 months from the referred customer's first paid invoice. Trial periods do not count toward this window.
• Plan changes: If a referred customer upgrades or downgrades, the 20% rate applies to whatever amount they pay.
• One referral per user: A given customer can only be attributed to one affiliate, ever. Whoever's code is used (or last-clicked, within the 60-day cookie window) wins.

3. Refund Hold and Reversals

• Each commission is held in pending status for 30 days after the underlying customer payment.
• If the customer payment is refunded or charged back during the hold window, the commission is reversed and you receive nothing for that period.
• After 30 days, commissions are approved and become payable on your next payout request.
• If a refund or chargeback occurs after the 30-day window on a previously paid commission, we may claw back that commission against future earnings or invoice you for the amount.

4. Payouts

• Minimum balance: $50 USD before you can request a payout.
• Frequency: Manual, requested by you from your dashboard. We typically process within 5 business days.
• Methods: PayPal, Venmo, or ACH bank transfer in USD.
• Tax form required: A complete IRS Form W-9 must be on file before any payout. Without it we are required by US tax law to withhold 24% under backup withholding rules.
• You are responsible for any fees imposed by your chosen payout provider.

5. Tax Obligations

• You are an independent contractor, not an employee, partner, or agent of Arez AI.
• If you earn $600 or more in a calendar year, we will issue you IRS Form 1099-NEC by January 31 of the following year.
• You are solely responsible for reporting and paying any income tax owed on commissions earned.
• Your Form W-9 information is encrypted in transit and at rest, used solely for tax reporting, and never shared with third parties except as required to issue 1099-NEC forms or by law.

6. Prohibited Promotion

You may NOT:

• Bid on Arez branded keywords in Google Ads, Bing Ads, or any other paid search platform — including but not limited to "Arez", "Arez AI", "ai-arez", "arezai", "Arez estimating", or close misspellings.
• Spam — no bulk unsolicited email, SMS, comments, or social media posts.
• Self-refer — you may not earn commissions on your own subscription. Self-referrals are automatically blocked at signup.
• Offer cash kickbacks or unauthorized discounts to people who sign up with your code.
• Misrepresent Arez AI features, pricing, or capabilities.
• Use any deceptive, misleading, or fraudulent tactic to drive signups.
• Run paid traffic to the same domains/landing pages we run paid traffic to without prior written approval.
• Trademark-infringe on Arez AI marks or use them in a way that suggests affiliation, endorsement, or partnership beyond what this Agreement creates.

7. FTC Disclosure (Required)

The FTC requires that you disclose your affiliate relationship whenever you promote Arez AI. The disclosure must be:

• Clear and conspicuous — visible without scrolling, on every post/page where you promote.
• In plain English — for example: "I earn a commission if you sign up through my link" or "Affiliate link — I get paid if you subscribe."
• Before any affiliate link — not buried in a footer or after the call-to-action.

Compliance is your responsibility. We may terminate your participation if your disclosures are not adequate.

8. Cookie Window and Attribution

• When someone visits Arez AI through your referral link (e.g., https://ai-arez.com/?ref=YOURCODE), a first-party cookie is set in their browser for 60 days.
• If they sign up within that 60-day window, you receive credit.
• Manual entry of your code at signup also credits you, even if the cookie has expired or was cleared.
• If a user clears cookies, uses incognito, or signs up on a different device with no cookie or code, attribution is lost.

9. Termination

• Either party may terminate this Agreement at any time by written notice (email to support@ai-arez.com is sufficient).
• We may immediately suspend or terminate your participation for any prohibited promotion (Section 6), fraud, or violation of FTC rules.
• On termination: pending commissions in good standing remain payable through the standard payout flow. Any commissions accrued through fraudulent or prohibited activity are forfeited.
• The 12-month commission window for existing referrals continues even after termination, unless terminated for cause.

10. Independent Relationship

You are an independent contractor. Nothing in this Agreement creates an employment, partnership, joint venture, agency, or franchise relationship. You may not represent yourself as an employee or agent of Arez AI.

11. Modifications

We may update this Agreement from time to time. Material changes (commission rate, hold window, prohibited activity) will be communicated via email at least 14 days before they take effect. Continued participation after the effective date constitutes acceptance.

12. Limitation of Liability

To the maximum extent permitted by law, Arez AI's aggregate liability under this Agreement is limited to the commissions paid to you in the 12 months preceding the claim. We are not liable for indirect, incidental, consequential, or punitive damages.

13. Governing Law

This Agreement is governed by the laws of the State of Texas, USA, without regard to conflict-of-laws principles. Any dispute will be resolved in the state or federal courts located in Travis County, Texas.

14. Privacy

Your use of the Partner Program is also governed by our Privacy Policy. We collect tax information, payout details, and commission history solely to administer the program and meet legal obligations.
